END-USER LICENSE AGREEMENT

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes related to freight, brokerage, carrier, and accounting operations.

Certain features — including the carrier portal, the administrative Command Center, and authorized integrations — require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Access roles are enforced and may be restricted or revoked at our discretion.

The Service integrates with third-party platforms, including Intuit QuickBooks for accounting and invoicing. Your use of any third-party integration is also governed by that provider’s terms and policies. You authorize us to access and exchange the data necessary to operate the integration on your behalf, and you represent that you have the right to grant that authorization.

You agree not to:

• Use the Service for any unlawful, fraudulent, or unauthorized purpose.
• Reverse engineer, decompile, or attempt to extract source code from the Service.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems.
• Resell, sublicense, or transfer your access without our written consent.
• Upload malicious code or misrepresent your identity or authority.

The Service, including its software, design, content, and trademarks, is owned by Elizer Logistics LLC or its licensors and is protected by applicable law. This Agreement grants you a license to use the Service, not any ownership rights in it.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect information. By using the Service you consent to those practices.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Elizer Logistics LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the Service.

We may suspend or terminate your access to the Service at any time for any violation of this Agreement. Upon termination, the license granted to you ends and you must stop using the Service.

We may update this Agreement from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
